Acceptance of Terms

By accessing, browsing, or using ThirdSlate, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

To use ThirdSlate, you must meet the following criteria:

We are not liable for any loss or damage arising from your failure to maintain account security.

Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if:

Consequences of termination include:

  • Intelligent content suggestions tailored to your learning progress
  • Adaptive learning recommendations that evolve with your performance

Course-Specific Study Dashboards:

  • Organized course management and material storage
  • Visual progress tracking and analytics
  • Performance insights and study pattern analysis
  • Learning metrics to identify strengths and areas for improvement

AI-Generated Educational Content:

  • Explanatory AI Chat: Contextual explanations derived from your course materials using Retrieval-Augmented Generation (RAG)
  • Practice Questions: Interactive, algorithmically-generated quizzes modeled after PrairieLearn-style assessments
  • Study Summaries: AI-generated condensed notes and concept overviews
  • Multi-modal Support: Text, code snippets, and graphical representations in AI responses

Content Upload and Management:

  • Support for multiple file formats: PDF, DOCX, TXT, MD, and others (see documentation for current list)
  • Secure cloud storage of your educational materials
  • Document processing and semantic indexing for AI retrieval
  • Organization by course, topic, or custom categories

Interactive Learning Features:

  • Real-time chat interface with AI learning assistant
  • Question answering with automatic feedback and grading
  • Study session history and conversation persistence
  • Bookmarking and favoriting of key content

Collaboration and Sharing (where available):

  • Shared study resources within permitted contexts
  • Collaborative learning features (subject to institutional policies)

Service Evolution and Modifications

We reserve the right to:

  • Add, modify, or discontinue features or functionality
  • Update AI models and algorithms to improve performance
  • Change pricing, subscription tiers, or service offerings
  • Impose usage limits or restrictions for operational reasons

Notice of Changes:

  • We will provide reasonable notice of material changes to core features
  • Feature deprecations will be announced at least 30 days in advance where feasible
  • Emergency changes for security or legal reasons may occur without advance notice

No Guarantee of Feature Availability: The Service is provided on an evolving basis. We do not guarantee that any specific feature will remain available or unchanged.


4. Acceptable Use Policy

Your use of ThirdSlate must comply with these Acceptable Use standards. Violations may result in immediate account suspension or termination.

Permitted Uses

You may use ThirdSlate for:

Prohibited Conduct

  • Engage in any unlawful conduct or facilitate illegal activities
  • Harass, threaten, defame, or impersonate others
  • Upload malicious software, viruses, or harmful code
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to systems or accounts

Intellectual Property Violations:

  • Upload content you do not have rights to use
  • Violate copyrights, trademarks, patents, or trade secrets
  • Remove or alter copyright notices, watermarks, or attribution
  • Use ThirdSlate to infringe on third-party intellectual property rights

Academic Integrity Violations:

  • Submit AI-generated content as your own original work without disclosure
  • Use the Service to complete assignments or exams in violation of academic policies
  • Share answers or materials in ways that facilitate cheating
  • Circumvent plagiarism detection or academic integrity systems

AI Misuse:

  • Generate harmful, deceptive, discriminatory, or offensive content
  • Create content intended to mislead, manipulate, or harm others
  • Use AI features to impersonate instructors, institutions, or authorities
  • Attempt to manipulate AI outputs to produce prohibited content
  • Generate content for purposes outside of legitimate educational use

Technical Abuse:

  • Reverse engineer, decompile, or disassemble the Service
  • Scrape, crawl, or extract data using automated tools without permission
  • Create derivative works based on ThirdSlate's proprietary technology
  • Use the Service to build competing products or services
  • Overload systems through excessive requests or resource consumption
  • Circumvent usage limits, paywalls, or security measures

Account Misuse:

  • Share accounts with others or create unauthorized accounts
  • Sell, transfer, or sublicense your account access
  • Use multiple accounts to circumvent restrictions
  • Create accounts using false, misleading, or fraudulent information

Fair Use for Educational and Non-Commercial Contexts

ThirdSlate supports fair use of educational materials in accordance with copyright law. You may:

  • Upload course materials for personal study purposes where you have legal access
  • Generate study aids based on legally obtained educational content
  • Use small portions of copyrighted materials for transformative educational purposes consistent with fair dealing/fair use principles

However, you remain responsible for ensuring your use complies with applicable copyright laws and institutional policies.

Enforcement and Reporting

We reserve the right to:

  • Monitor use of the Service for compliance with these Terms
  • Investigate suspected violations
  • Remove content that violates these Terms or applicable law
  • Cooperate with law enforcement and regulatory authorities

5. Intellectual Property Rights

ThirdSlate's Proprietary Rights

All aspects of the ThirdSlate platform are the exclusive property of ThirdSlate Inc. and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

ThirdSlate Owns:

  • The ThirdSlate name, logo, and branding
  • All software code, algorithms, and architectures
  • User interface designs, graphics, and visual elements
  • AI models, prompts, and training methodologies (where applicable)
  • Documentation, tutorials, and educational materials created by ThirdSlate
  • All trademarks, service marks, and trade dress

You are granted a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for personal educational purposes
  • View and interact with ThirdSlate's content and features
  • Generate outputs using AI tools within the scope of these Terms

You may NOT:

  • Reproduce, distribute, or publicly display ThirdSlate's proprietary content
  • Create derivative works based on ThirdSlate's platform or technology

User Content Ownership

You retain ownership of all content you upload to ThirdSlate, including:

You also own the AI-generated educational content produced specifically for you, including:

  • Personalized explanations and study materials
  • Practice questions generated from your content
  • Custom summaries and learning aids

License Grant to ThirdSlate

By uploading content or using the Service, you grant ThirdSlate a limited license to:

Operate the Service:

  • Store, process, and display your content
  • Use your materials to generate AI-powered educational content
  • Provide requested features and functionality
  • Maintain backups and ensure data security

Improve the Service:

  • Analyze usage patterns and content to enhance AI accuracy
  • Train and refine AI models using anonymized or aggregated data
  • Develop new features and educational tools
  • Conduct quality assurance and testing

This license is:

  • Non-exclusive (you retain all ownership rights)
  • Worldwide (to enable global service delivery)
  • Royalty-free (no payment required from ThirdSlate)
  • Sublicensable (to approved service providers under data processing agreements)
  • Terminable (ends when you delete content or close your account, subject to retention policies)

Restrictions on Use

We will NOT:

  • Sell your uploaded materials or AI-generated content to third parties
  • Use your content for purposes unrelated to operating or improving the Service
  • Publicly display or distribute your private educational materials
  • Claim ownership of your original content

Copyright and DMCA Compliance

Copyright Infringement Reporting: If you believe content on ThirdSlate infringes your copyright, submit a DMCA takedown notice to:

6. AI-Generated Content Disclaimer

ThirdSlate uses artificial intelligence to provide educational assistance. While we strive for accuracy, AI systems have inherent limitations.

Nature of AI Content

AI-generated content is:

  • Assistive, Not Authoritative: AI outputs are educational aids, not definitive sources of truth
  • Probabilistic: Generated based on patterns in training data and your uploaded materials
  • Subject to Errors: AI may produce inaccurate, incomplete, or misleading information
  • Context-Dependent: Quality depends on the input materials and query specificity

AI outputs should be treated as suggestions for further investigation, not final answers.

No Guarantee of Accuracy

We do not warrant that AI-generated content is:

  • Factually correct or complete
  • Free from errors, inaccuracies, or "hallucinations"
  • Appropriate for your specific academic requirements
  • Compliant with your institution's standards or expectations

Human Verification Required

You are responsible for:

  • Verifying the accuracy of AI-generated content
  • Cross-referencing AI outputs with authoritative sources
  • Applying critical thinking to AI explanations
  • Ensuring compliance with your institution's academic integrity policies
  • Consulting instructors or subject matter experts when uncertain

Do not rely solely on AI-generated content for high-stakes decisions, submissions, or assessments.

Potential AI Limitations and Biases

AI systems may:

  • Reflect biases present in training data
  • Struggle with highly specialized or cutting-edge topics
  • Generate plausible-sounding but incorrect information
  • Misinterpret ambiguous queries or context
  • Perform inconsistently across different subjects or content types

Academic Responsibility

Use of AI-generated content for academic work:

  • You must comply with your institution's policies on AI assistance

  • Instructors may prohibit or restrict AI tool usage for specific assignments

ThirdSlate is not responsible for academic consequences arising from misuse of AI-generated content.

7. Subscription, Payments & Billing

Pricing Models

ThirdSlate offers various access tiers to accommodate different user needs:

Premium Tiers (if applicable):

  • Enhanced features and increased usage limits

Institutional Licensing:

Billing Cycles and Renewals

Automatic Renewal:

8. Termination & Suspension

Termination by ThirdSlate

We may suspend or terminate your access to the Service immediately and without notice if:

Policy Violations:

  • You breach any provision of these Terms or our Acceptable Use Policy
  • You engage in conduct that harms ThirdSlate, other users, or third parties
  • You violate intellectual property rights or academic integrity standards

Fraudulent or Illegal Activity:

  • You provide false information or engage in identity fraud
  • You use the Service for unlawful purposes
  • You attempt to circumvent security measures or payment systems

Non-Payment:

  • Your payment method fails repeatedly
  • You owe outstanding fees to ThirdSlate
  • Your subscription has expired and you have not renewed

Legal or Safety Reasons:

  • We are required to terminate access by law, court order, or government request
  • Continued provision of Service would create legal or safety risks
  • Your use poses security threats to our systems or other users

Other Circumstances:

  • Extended account inactivity (typically 24 months without login)
  • Discontinuation of the Service or specific features
  • Violation of institutional agreements (for institutional users)

Termination by User (Voluntary)

You may terminate your account at any time by:

  • Using the account deletion feature in your settings
  • Contacting support@thirdslate.com with a termination request
  • Ceasing to use the Service (subject to automatic account closure policies)

Consequences of Termination

Upon termination or suspension:

Immediate Effects:

  • Loss of access to the Service and all features
  • Inability to retrieve uploaded materials (unless downloaded prior to termination)
  • Suspension of AI chat history and generated content access
  • Forfeiture of unused subscription benefits (subject to refund policies)

Data Retention and Deletion:

  • Personal data will be deleted or anonymized according to our Privacy Policy
  • Standard deletion occurs within 30-90 days of account closure
  • Backup data is purged according to our backup retention schedule
  • Some data may be retained longer for legal, security, or audit purposes

Surviving Provisions:

  • Sections related to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination
  • You remain bound by obligations incurred prior to termination
  • ThirdSlate retains rights to anonymized or aggregated data

Post-Termination Obligations

After termination:

  • You must cease all use of the Service
  • You must delete any downloaded ThirdSlate software or materials
  • Outstanding fees remain due and payable
  • You may not create new accounts without ThirdSlate's permission (if terminated for violations)

Reactivation

Accounts closed voluntarily may be eligible for reactivation within 90 days. Contact support@thirdslate.com. Accounts terminated for violations are generally not eligible for reactivation.

To the fullest extent permitted by law, ThirdSlate disclaims all warranties, including but not limited to:

  • Warranties regarding accuracy, reliability, or completeness of content
  • Warranties that the Service will be uninterrupted, error-free, or secure

No Warranty of Results

Maximum Liability Cap: In jurisdictions where liability cannot be fully disclaimed, ThirdSlate's total aggregate liability for all claims shall not exceed the greater of:

  • The amount you paid to ThirdSlate in the 12 months preceding the claim, or
  • $100 CAD

Exceptions to Limitations

These limitations do not apply to:

  • Liability that cannot be excluded or limited by law
  • Personal injury or death caused by ThirdSlate's negligence
  • Fraud or fraudulent misrepresentation
  • Gross negligence or willful misconduct

User Responsibility

You acknowledge that:

  • You use the Service at your own risk
  • You are responsible for your own academic decisions and work
  • You must exercise independent judgment regarding AI-generated content
  • You should maintain backup copies of important materials

Force Majeure

ThirdSlate is not liable for failure to perform due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or acts of God
  • War, terrorism, civil unrest, or government actions
  • Internet or telecommunications failures
  • Cyberattacks, hacking, or denial-of-service attacks
  • Third-party service provider failures
  • Power outages or infrastructure failures

12. Indemnification

You agree to indemnify, defend, and hold harmless ThirdSlate, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

Scope of Indemnification

Your Conduct:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any rights of third parties

Your Content:

  • Content you upload, submit, or transmit through the Service
  • Intellectual property infringement related to your content
  • False, misleading, or defamatory content you provide

Account Activity:

  • Unauthorized use of your account resulting from your failure to maintain security
  • Actions taken by anyone accessing the Service through your account

Academic or Professional Consequences:

  • Academic integrity violations or disciplinary actions arising from your use of AI-generated content
  • Professional or employment consequences related to your use of the Service

Defense and Cooperation

You agree to:

  • Cooperate fully in the defense of any claims
  • Provide accurate information and documentation as reasonably requested
  • Not settle any claim without ThirdSlate's prior written consent

ThirdSlate reserves the right to:

  • Assume exclusive defense and control of any matter subject to indemnification
  • Require you to participate in the defense at your own expense

Exceptions

This indemnification does not apply to claims arising solely from:

  • ThirdSlate's gross negligence or willful misconduct
  • ThirdSlate's breach of these Terms
  • Defects in the Service caused by ThirdSlate

13. Governing Law & Jurisdiction

Applicable Law

These Terms and your use of the Service are governed by the laws of:

  • Province of British Columbia, Canada
  • Federal laws of Canada (where applicable)

This choice of law applies without regard to conflict of law principles that would require application of the laws of another jurisdiction.

Jurisdiction and Venue

For Canadian users:

  • Disputes shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada
  • You consent to personal jurisdiction in British Columbia courts

For international users:

  • You agree that British Columbia courts have jurisdiction over disputes
  • You waive any objections to venue or inconvenient forum

Exceptions for mandatory local law:

  • If you reside in a jurisdiction that requires disputes to be resolved in local courts, those mandatory provisions apply
  • Consumer protection laws in your jurisdiction may provide additional rights

Dispute Resolution Process

Before initiating formal legal proceedings, we encourage good-faith resolution through the following process:

Step 1: Direct Negotiation (30 days)

  • Contact legal@thirdslate.com with a detailed description of the dispute
  • We will attempt to resolve the matter through direct communication
  • Both parties should engage in good-faith negotiations

Step 2: Mediation (60 days)

  • If negotiation fails, either party may request non-binding mediation
  • Mediation shall be conducted by a mutually agreed mediator in British Columbia
  • Costs of mediation shall be shared equally unless otherwise agreed

Step 3: Arbitration or Litigation

  • If mediation is unsuccessful, disputes may proceed to binding arbitration or litigation
  • Arbitration shall be conducted under the British Columbia Arbitration Act
  • Each party bears its own legal costs unless otherwise awarded

Class Action Waiver

To the extent permitted by law, you agree that:

  • Disputes will be resolved on an individual basis
  • You waive the right to participate in class actions, class arbitrations, or representative proceedings
  • You may not consolidate claims with other users without ThirdSlate's consent

Exception: This waiver does not apply where prohibited by law. Some jurisdictions do not allow class action waivers for certain claims.

Small Claims Court

Notwithstanding the above, either party may bring claims in small claims court if the claim qualifies and the court has jurisdiction.

International Users

Users outside Canada acknowledge that:

  • ThirdSlate operates from Canada and is subject to Canadian law
  • Use of the Service may subject you to Canadian jurisdiction
  • Local laws in your country may also apply
  • You are responsible for compliance with your local laws

Injunctive Relief

Nothing in this section prevents either party from seeking injunctive or equitable relief in court for:

  • Intellectual property infringement
  • Breach of confidentiality obligations
  • Violations requiring immediate relief to prevent irreparable harm

14. Changes to These Terms

Right to Modify

ThirdSlate reserves the right to modify, update, or replace these Terms at any time at our sole discretion. Changes may be necessary due to:

  • Security or operational improvements
  • Changes to business practices or pricing
  • User feedback or evolving industry standards

16. Miscellaneous Clauses

Entire Agreement

These Terms of Service, together with our Privacy Policy, Refund Policy (if applicable), and any other policies referenced herein, constitute the entire agreement between you and ThirdSlate regarding your use of the Service.

This Agreement supersedes:

  • All prior oral or written agreements
  • Prior versions of these Terms
  • Representations or understandings not contained in these Terms

Exception: Institutional users with separate written agreements may have additional terms that supplement (but do not replace) these Terms.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction:

  • That provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions
  • The unenforceable provision shall be replaced with an enforceable provision that most closely matches the intent of the original
  • The remaining Terms shall continue in full force and effect

No Waiver

ThirdSlate's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

This means:

  • We may enforce Terms selectively without losing the right to enforce other provisions
  • Waiver in one instance does not create ongoing waiver
  • Any waiver must be in writing and signed by an authorized ThirdSlate representative
  • Delayed enforcement does not prevent future enforcement

Assignment

Your rights and obligations:

  • You may not assign, transfer, or sublicense these Terms or your account without ThirdSlate's prior written consent

  • Your account is personal to you and non-transferable

ThirdSlate's rights:

Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:

  • Natural disasters (earthquakes, floods, hurricanes, wildfires)
  • Pandemics, epidemics, or public health emergencies
  • Acts of war, terrorism, or civil unrest
  • Government actions, embargoes, or legal restrictions
  • Labor strikes or disputes (not involving the party's own employees)
  • Internet, telecommunications, or utility failures
  • Cyberattacks, denial-of-service attacks, or security breaches
  • Acts of third-party service providers beyond our control

Effect of Force Majeure:

  • Performance obligations are suspended during the force majeure event
  • The affected party must provide notice and make reasonable efforts to resume performance

Third-Party Beneficiaries
